TERMS OF SERVICE AND TRADE

Exim World Connect Inc. (“Exim,” “we,” “us,” or “our”) operates as an international trade facilitation firm, specializing in agricultural commodities, machinery procurement, and private label manufacturing.

By accessing our website (eximworldconnect.com), initiating a trade inquiry, or entering into a Sales Contract with us, you (“Client,” “Buyer,” or “User”) agree to be bound by these Terms of Service (“Terms”).

1. SCOPE OF APPLICATION

These Terms govern the commercial relationship between Exim World Connect Inc. and the Client. While these Terms cover general usage of our digital platforms and preliminary inquiries, specific transactions for physical goods will be superseded by the definitive Sales Contract or Pro Forma Invoice issued for that specific trade. In the event of a conflict between these Terms and a signed Sales Contract, the Sales Contract shall prevail.

2. NATURE OF OFFERINGS

Exim World Connect Inc. acts as a merchant exporter and sourcing partner.

  • Website Content: All product specifications, including grain grades (e.g., “Laird No.1”), quantities, and availability listed on our website are for informational purposes only and constitute an invitation to treat, not a binding offer to sell.
  • Product Variability: Agricultural commodities (Lentils, Wheat, Soybeans, etc.) are natural products. While we adhere to Canadian Grain Commission (CGC) standards where applicable, actual specifications may vary slightly due to harvest conditions.

3. ORDERING AND CONTRACT FORMATION

3.1. Inquiries and Quotes

Price indications provided via email, WhatsApp, or phone are valid only for the specific validity period mentioned (typically 24-48 hours due to market volatility).

3.2. Firm Contracts

A binding contract for the sale of goods is formed only when:

  1. Exim issues a formal Pro Forma Invoice (PFI) or Sales Contract; AND
  2. The Buyer returns a signed copy or issues a Purchase Order referencing the PFI; AND
  3. The required financial instrument (e.g., Deposit or Letter of Credit) is received and verified by our bank.

3.3. SMS Terms of Service

By opting in via a web form or other communication method, you authorize EXIM World Connect to send you SMS messages, including both external communications and internal employee-related messages. 4. PRICING AND PAYMENT TERMS

4.1. Currency and Pricing

Unless otherwise stated, all prices are quoted in United States Dollars (USD) or Canadian Dollars (CAD). Prices are subject to fluctuation based on the Chicago Board of Trade (CBOT) or relevant commodity exchanges until a price is locked in a written contract.

4.2. Payment Methods

To mitigate counterparty risk, we primarily accept:

  • Irrevocable Documentary Letter of Credit (LC): Must be issued by a top-tier bank, strictly complying with UCP 600 standards.
  • Telegraphic Transfer (T/T): Advance payments or balance against scan of Bill of Lading (BL), subject to credit approval.


5. SHIPPING AND INCOTERMS

5.1. Incoterms® 2020

All trade terms are defined in accordance with Incoterms® 2020. Common terms include:

  • FOB (Free on Board): Risk transfers to Buyer when goods are loaded on the vessel at the Canadian port (e.g., Vancouver/Montreal).
  • CIF (Cost, Insurance, and Freight): Exim arranges transport and insurance to the destination port.

5.2. Delivery Estimates

Shipping schedules are estimates based on vessel availability and logistics. Exim is not liable for delays caused by port congestion, strikes, or shipping line rollovers.

6. QUALITY, INSPECTION, AND CLAIMS

6.1. Inspection

Unless otherwise agreed, quality and quantity shall be final and binding as determined by a Third-Party Inspection Agency (e.g., SGS, Bureau Veritas, Intertek) at the Port of Loading.

  • The Inspection Certificate issued at the loading port is the definitive proof of contract compliance.

6.2. Claims

Any claims regarding quality or weight must be submitted in writing within 14 days of the cargo’s arrival at the discharge port, accompanied by a survey report from a recognized independent surveyor. Failure to notify within this window constitutes acceptance of the goods.

7. REGULATORY COMPLIANCE

7.1. Export Compliance (Seller)

Exim warrants that goods supplied comply with Canadian export regulations, including the Safe Food for Canadians Regulations (SFCR) where applicable.

7.2. Import Compliance (Buyer)

The Buyer is solely responsible for obtaining all necessary import licenses, permits, and adhering to phytosanitary requirements of the destination country. Exim bears no liability if goods are rejected by foreign customs due to changes in local import laws.

8. LIMITATION OF LIABILITY

8.1. Force Majeure

Exim shall not be liable for non-performance or delay caused by “Acts of God,” including but not limited to: crop failure, drought, embargoes, war, strikes, or government restrictions (Force Majeure).

8.2. Damages Cap

To the maximum extent permitted by law, Exim’s total liability for any claim arising out of a specific transaction shall not exceed the invoice value of that specific shipment. We are not liable for indirect, consequential, or punitive damages (e.g., Buyer’s loss of profit or production stoppages).

9. WEBSITE AND INTELLECTUAL PROPERTY

9.1. Accuracy of Information

While we strive for accuracy, our website may contain typographical errors or inaccuracies (E&OE). We reserve the right to correct errors regarding product descriptions or pricing at any time without prior notice.

9.2. Copyright

All content, branding, and logos on eximworldconnect.com are the property of Exim World Connect Inc. Unauthorized use of our trade name or confusingly similar variations is prohibited.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1. Jurisdiction

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

10.2. Arbitration

Any dispute arising out of or in connection with international commercial contracts shall be referred to and finally resolved by arbitration under the ADR Institute of Canada rules. The seat of arbitration shall be Toronto, Ontario.
